I recently had breakfast with David Feldman, a securities attorney, to discuss his new book Reverse Mergers. David is the founding partner of Feldman, Weinstein & Smith located in Manhattan, NY. The newly released book covers all aspects of going public through alternative vehicles such as Virgin Shells, SPACs and Reverse Shell Mergers. I wanted to share some of David’s insights on the book, but the book is so chuck full of information that I have decided to dedicate several Blogs relating the most important chapters.

David has been a securities attorney for over 20 years and has specialized in the area of reverse shell mergers for the last several years. He has devised and fine tuned the concept of the “Virgin Shell” which I will address in length in the near future. After spending almost two hours conversing with him it became obvious to me he is an authority in this field. This is no easy feat for we are not only speaking about having a full comprehension of the SEC rules and regulations regarding these issues but also the intention of the rules. In other words, David knows how to weave his way through the intricacies of the law to get his clients deals approved by the SEC. He is correct in his assertion that since the “Internet Boom and Bust,” reverse shell mergers have come center stage. The average capitalization of a reverse shell merger is now over $50 million. These types of transactions are no longer considered the ugly stepsister of the IPO. Instead, this industry is growing by leaps and bounds and is filling the void left by broker dealers who no longer have an interest in funding emerging growth companies in IPO’s that fall below $100 million.
