Examination of Shell Due Diligence by Buyer
Examination of the shells due diligence is where the rubber meets the road. This is the point that determines whether you are going to proceed with the transaction or reject the shell. Your SEC attorney will perform a complete due diligence review. If you have hired an experienced consultant like Ventana Capital Partners then your attorney will receive a complete due diligence package that has already been scrubbed (reviewed) and contains all necessary documents for him to complete his due diligence and close on the shell. As mentioned previously we use a ten page due diligence questionnaire that the Seller completes and we review before the Buyer’s attorney ever sees it. This saves the Buyer both time and money. Buyer’s attorneys love us because we provide them with a complete due diligence package on the shell company wrapped up with a bow. In other words we do most of the time intensive homework that involves the organization, review and delivery of all of the due diligence documents. If there is anything missing all an attorney has to do is call us and we will track down whatever they request.
Here is the protocol;

Seller completes due diligence questionnaire. If there are delays or gaps in the documentation we give Seller ample time to comply with our requests

If Seller can not supply all of the due diligence in a specific period of time we cancel the transaction and move on to the next shell.

If Seller complies with all due diligence document requests we review the information prior to remitting to Buyers attorney

Buyers counsel will then be able to complete his review of the due diligence in a timely manner and approve the transaction.

You can close on the transaction in two weeks from start to finish.
