The first thing to understand when taking your company public is the time element involved. The time element and your choice of SEC registration vehicle will also determine the cost of going public. I have listed several different vehicles and the cost associated with them below:
S1 or Form 10 Registration (now replaced the SB registration)
Cost - $100,000 to $500,000
Attorney fees - $75,000 to $250,000 (cost varies according to whether you use a small or brand name law firm.
CPA fees - $20,000 to $250,000 (cost varies due to size and complexity of the audit plus name brand status of the firm).
Time element – 12 to 18 months
Reverse Merger into an OTCBB shell. This process does not require SEC review and approval to go public.
Cost - $500,000 to $800,000 for the shell
Attorney fees - $25,000 to $50,000
CPA fees - $20,000 to $250,000
Time Element – 30 days to 90 days depending upon what type of shell you purchase.
