Filing an S1 or Form 10 Registration Statement
Step 1
If you decide file an S1 or Form 10 registration statement you will first have to establish a shareholder base of approximately forty (40) shareholders and complete your PCAOB audit. While you are accomplishing those initial steps you will also be meeting with your SEC attorney who will be preparing your registration statement which will be filed with the SEC once you have reached 40 shareholders and finalized your audit. Once you have filed the registration statement you will receive several rounds of comment letters (questions) from the SEC which you will respond to until they are completely satisfied with your answers to their comments. This process will take will take the better part of a year.
